Optilogix · Online Shop seekruncycling.com
DRAFT FOR LEGAL REVIEW · As of 21 October 2026
Important Notice: This template has not been reviewed by a lawyer. Before publication, the complete company details, specific delivery areas, estimated return shipping costs for bulky goods, and the separate cancellation policy must be reviewed and completed in particular.
§ 1 Scope and Contracting Party
(1) These General Terms and Conditions apply to orders placed through the online shop at seekruncycling.com. The provider and contractual partner is:
Optilogix UG (haftungsbeschränkt), Germany, Email: info@optilogix.de. [Commercial Register: HRB 732968.]
(2) The offer is addressed to consumers within the meaning of Section 13 of the German Civil Code (BGB) and businesses within the meaning of Section 14 BGB. Where individual provisions apply exclusively to businesses, this will be expressly stated.
(3) Any conflicting or supplementary terms and conditions of business customers shall apply only if we expressly agree to their validity. Individual agreements shall take precedence.
§ 2 Conclusion of Contract and Ordering Process
(1) The presentation of goods in the online shop does not constitute a legally binding offer but rather an invitation to submit an order.
(2) Customers may add goods to their shopping cart and review and correct their entries before submitting an order. By clicking the clearly labelled order button indicating an obligation to pay, customers submit a binding offer to purchase.
(3) An automatic order confirmation initially serves only to confirm receipt of the order. The contract is concluded when we expressly accept the order or dispatch the goods, unless another clear declaration of acceptance is made during the ordering process.
(4) For deliveries outside Germany that initially require an individual shipping quotation, a contract shall be concluded only after the full terms have been communicated and accepted by the customer. Payment must not be initiated on the basis of unspecified shipping costs to be determined and charged at a later date.
(5) Contract language and storage of the contractual text: [Before the shop goes live, specify the actual contract languages offered, how customers can access the contractual text, and how order confirmations are provided.]
§ 3 Products, Availability and Product Characteristics
(1) The products offered include, in particular, new ENGWE e-bikes, SEEKRUN bicycle components, and used bicycles/e-bikes. The applicable product description and the characteristics agreed upon during the ordering process shall be decisive.
(2) For used goods, the relevant product description shall explain their condition, known signs of use, any documented defects, included accessories and, where available, relevant information regarding mileage and battery condition.
(3) Availability and estimated delivery times shall be stated on the relevant product page or before the order is completed. In the event of unavailability, the customer’s statutory rights shall apply.
§ 4 Prices and Payment
(1) For consumers, final prices shall be displayed inclusive of the applicable statutory VAT, where VAT is chargeable. Any additional costs shall be clearly disclosed before the order is submitted.
(2) Standard delivery within Germany is free of charge for ENGWE e-bikes, used e-bikes and SEEKRUN products. For other delivery destinations, shipping costs must be individually confirmed before the contract is concluded.
(3) The payment methods actually offered at checkout and the payment terms displayed there shall apply. [Check the payment service providers and any applicable payment terms before publication.]
§ 5 Delivery and Transfer of Risk
(1) Deliveries within Germany are free of charge. For Austria and other countries, the availability of delivery and the applicable shipping costs must be individually checked before an order is placed.
(2) Delivery times and shipping methods shall be determined by the information provided in the relevant offer. E-bikes may be shipped as bulky goods or delivered by freight carrier. Any final assembly required by the customer shall be explained in the product description.
(3) For consumers, the risk of accidental loss or accidental deterioration of the goods generally passes only when the goods are handed over to the consumer or a recipient authorised by the consumer to receive them. Statutory exceptions remain unaffected.
(4) For business customers, the transfer of risk shall be governed by the applicable statutory provisions, in particular Section 447 BGB, where applicable.
(5) Transport damage should be reported and documented as soon as reasonably possible. Failure to report damage, or reporting it late, shall not affect consumers’ statutory rights.
§ 6 Statutory Right of Withdrawal for Consumers
(1) Consumers generally have a statutory right of withdrawal for distance contracts, unless a statutory exclusion applies.
(2) Details regarding withdrawal periods, the exercise of the right of withdrawal, refunds and returns are set out in the separately provided cancellation policy and model withdrawal form. This information shall be made available before the contract is concluded.
(3) In the event of a valid withdrawal, consumers shall bear the direct costs of returning the goods, provided that they have been duly informed of this obligation before concluding the contract. For goods that, by their nature, cannot normally be returned by post, the estimated return shipping costs shall be specified in the cancellation policy before the contract is concluded.
(4) Statutory warranty rights relating to defective goods remain unaffected by the right of withdrawal. The allocation of costs for a withdrawal does not replace the statutory rules governing costs in connection with justified defect claims.
§ 7 Statutory Rights in Respect of Defects (Warranty)
(1) Consumers shall enjoy the statutory rights in respect of defects under the German Civil Code (BGB). For new goods, the statutory limitation period for claims relating to defects is generally two years from delivery, subject to statutory exceptions.
(2) For used goods, the limitation period for consumer claims may be reduced to a minimum of one year only if the statutory requirements are met, including specific information provided before the contract is concluded and an express, separate agreement. Without a valid agreement, the statutory limitation periods shall apply.
(3) In the event of justified defect claims, we shall bear the costs of subsequent performance required by law, including transport, travel, labour and material costs, in accordance with Section 439(2) BGB. Where the customer validly withdraws from the contract due to a defect, we shall bear the statutory costs of returning the goods.
(4) Contacting us at info@optilogix.de and providing the order number, product name and a description of the defect will facilitate processing. Photographs or videos may be submitted voluntarily to help clarify the issue. The exercise of statutory rights is not conditional upon the use of any particular form.
(5) For business customers, the statutory duties to inspect goods and give notice of defects under Section 377 of the German Commercial Code (HGB) shall apply where the relevant legal requirements are met. Any further deviations for business customers require separate legal review.
§ 8 Voluntary Manufacturer Warranties and Maintenance
(1) Any voluntary warranty for ENGWE or SEEKRUN products shall apply only in accordance with the separate warranty terms published by the designated warrantor. The scope of coverage, duration, geographical coverage and claims procedure shall be explained in those terms.
(2) Different warranty periods or objectively justified exclusions may apply to specific components. Information concerning maintenance or wear shall relate exclusively to the relevant voluntary warranty and shall not restrict statutory rights in respect of defects.
(3) A voluntary warranty is provided in addition to statutory rights in respect of defects. Those statutory rights shall remain available free of charge and without restriction. [The specific ENGWE and SEEKRUN warranty statements, including the identity of each warrantor, must be reviewed separately by legal counsel before publication.]
§ 9 Retention of Title
The goods delivered shall remain our property until payment has been made in full. Any different retention-of-title arrangements for business customers may apply only pursuant to a separate, valid agreement.
§ 10 Liability
(1) We shall be liable without limitation in cases of intent and gross negligence, as well as for damages arising from injury to life, body or health resulting from a breach of duty for which we are responsible.
(2) In cases of slight negligence involving a breach of essential contractual obligations, we shall be liable, to the extent legally permissible, for the foreseeable damage typical of the contract, in accordance with the applicable statutory standards.
(3) Liability under the German Product Liability Act, claims arising from guarantees expressly assumed, and any other mandatory statutory liability provisions shall remain unaffected.
§ 11 Dispute Resolution and Consumer Information
Information regarding our participation or non-participation in proceedings before a consumer arbitration board must be completed in accordance with the company’s actual circumstances and the applicable statutory requirements under Sections 36 and 37 of the German Consumer Dispute Resolution Act (VSBG): [Insert the appropriate statement following legal review.]
§ 12 Applicable Law and Jurisdiction
(1) German law shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). For consumers whose habitual residence is in another country, mandatory consumer protection provisions of that country shall remain unaffected to the extent that they apply under the relevant conflict-of-law rules.
(2) Where legally permissible, the place of jurisdiction for merchants, legal entities under public law and special funds under public law may be agreed to be the seller’s registered office. Statutory rules on jurisdiction shall apply to consumers.
